1. Acceptance of Terms

By accessing or using GSAReady.com and the GSA Readiness Assessment Score platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). GSAReady is a product of US Federal Contractor Registration (USFCR.com). If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

Important: GSAReady is not affiliated with, endorsed by, or connected to the U.S. General Services Administration (GSA) or any other government agency. We are a private company providing information and consulting services related to GSA Schedule contracts.

If you do not agree to these Terms, do not use our Services.

2. Description of Services

GSAReady provides:

  • GSA Readiness Assessment: An evaluation tool that analyzes your business's preparedness for GSA Schedule contracts based on information you provide and publicly available federal data
  • Readiness Score: A calculated score indicating your current level of GSA readiness
  • Personalized Roadmap: Recommendations for improving your readiness based on identified gaps
  • Consultant Connections: Optional referrals to qualified GSA consultants for hands-on assistance
  • Educational Resources: Information about GSA Schedule requirements and the federal contracting process

3. Account and Registration

To use certain features of our Services, you may be required to provide your business's Unique Entity Identifier (UEI) or CAGE Code. By providing this information, you:

  • Represent that you are authorized to act on behalf of the identified business
  • Confirm that the information you provide is accurate and complete
  • Agree to update your information if it changes
  • Accept responsibility for all activities conducted using your business identifiers

4. Use of Services

4.1 Permitted Use

You may use our Services to:

  • Assess your business's GSA readiness
  • Identify areas for improvement in your federal contracting preparedness
  • Access educational resources about GSA Schedules
  • Request connections to GSA consultants

4.2 Prohibited Use

You may not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Provide false or misleading information in assessments
  • Assess businesses you are not authorized to represent
  • Attempt to reverse engineer, decompile, or extract the source code of our platform
  • Scrape, crawl, or use automated means to access the Services without our permission
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to our systems or user data
  • Resell, redistribute, or commercialize any part of the Services without authorization
  • Use the Services to compete directly with GSAReady

5. Assessment Scores and Recommendations

5.1 Nature of Assessments

The GSA Readiness Assessment Score is an informational tool designed to help businesses understand their preparedness for GSA Schedule contracts. The score and recommendations are:

  • Based on information you provide and publicly available federal data
  • Generated using our proprietary methodology
  • Intended as guidance, not a guarantee of GSA Schedule approval
  • Subject to change as requirements and methodologies evolve

5.2 No Guarantee

A high readiness score does not guarantee that you will obtain a GSA Schedule contract. The actual GSA Schedule application process is conducted by the General Services Administration, which has sole authority over contract awards. GSAReady is not affiliated with, endorsed by, or a representative of the U.S. General Services Administration.

6. Consultant Referrals

If you request to be connected with GSA consultants through our platform:

  • We may share your contact information and assessment results with selected consultants
  • Any engagement with consultants is a separate agreement between you and the consultant
  • GSAReady does not employ these consultants and is not responsible for their services, advice, or performance
  • We do not guarantee results from consultant engagements
  • Consultant fees are separate from any GSAReady services and are negotiated directly with the consultant

7. Intellectual Property

7.1 Our Property

The Services, including the website, assessment methodology, scoring algorithms, content, graphics, logos, and software, are owned by GSAReady and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Your Content

You retain ownership of information you provide. By submitting information to our Services, you grant GSAReady a non-exclusive, royalty-free license to use, process, and store that information to provide and improve our Services.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use that feedback without restriction or compensation.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF ASSESSMENT RESULTS
  • NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • RESULTS FROM USE OF THE SERVICES

We do not warrant that the Services will meet your specific requirements or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GSAREADY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
  • DAMAGES ARISING FROM CONSULTANT REFERRALS OR THIRD-PARTY SERVICES
  • DAMAGES RESULTING FROM GSA'S DECISION TO APPROVE OR DENY YOUR APPLICATION

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO GSAREADY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless GSAReady and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or information you provide

11. Modifications to Services and Terms

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Services at any time
  • Update these Terms at our discretion
  • Change our pricing or service offerings

Material changes to these Terms will be posted on this page with an updated effective date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your account and assessment data
  • Provisions that by their nature should survive (including limitations of liability and indemnification) will remain in effect

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Delaware or remotely at the arbitrator's discretion.

YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GSAReady regarding the Services and supersede all prior agreements and understandings.
